Sofia - Transactional highlights
  • Advised Delivery Hero SE on the sale of their business operations in Bulgaria to GlovoApp23 SE. The transaction is part of the wider scope closing of the EUR 170 million acquisition of Delivery Hero’s operations in six jurisdictions in the Balkans.
  • Advising Fr. Lürssen Werft GMBH & CO.KG, part of the northern German shipyard group Lürssen, on the award of EUR 500 million tender organised by the Bulgarian Ministry of Defence on the Acquisition of Multipurpose Modular Patrol Vessels for the Bulgarian Navy.
  • Advising Morgan Stanley Senior Funding, Inc. - administrative agent of a syndicate of banks, provided a Syndicated Credit facility worth several billion USD to Sensata Technologies Group, on the collateral agreements provided by the Bulgarian affiliated company of the Borrower as well as on the Bulgarian aspects of Bond Offering Memorandum related to the credit facility.
  • Advising International Finance Corporation on Loan and Guarantee Agreement for EUR 80,000,000, concluded with Kaufland Bulgaria EOOD & Co KD as borrower and SB Lidl KD and SB Kaufland KD as guarantors, on fulfilment of the conditions precedent for utilization of the loan as well as providing legal assistance for registration of the collateral – mortgages on about 20 stores in Bulgaria.
  • Advising Hareon Solar Technology Co., a leading global manufacturer of solar panels, in the process of acquisition and development of several renewable energy projects in Bulgaria. We also assisted the Bulgarian subsidiaries of Hareon in the financing of the projects with EUR 95,000,000, provided by China Development Bank.
  • Advising the Swiss company Alpiq Holding, leader in the renewable energy sector, on acquisition of two wind power plants with total installed capacity of 72.5 MW and their further development. We have provided consultations and support on the commissioning of wind power plants, as well as during the process of licensing the projects and signing all required documents and agreements for connection and access of the power plant to the electricity grid.
  • Advising one of the largest Hong Kong investment companies, BMA Investment Group Ltd., on their Bulgarian project awarded with a priority investment certificate by the Bulgarian government as the largest project in Bulgarian history. The legal work included, among other things, advice on the acquisition of a Bulgarian company that owned a golf course near Sofia and 3.4 billion euro prospectus for the issuance of warrants.
  • Advising the National Railway Infrastructure Company, one of the largest state-owned companies, on a litigation case with Terna Construction. The dispute for 15,000,000 EUR is related to the construction of the railroad for Sofia Svilengrad. We have also been assigned by the National Railway Infrastructure Company to draft model contracts in relation to the construction and design of two parts of the railway line Sofia – Plovdiv.
  • Advising the owners of the Debt Collection Agency, the largest debt collection private institution in Bulgaria, on the sale of 100% of their shares to B2 Holding, Norway, through its subsidiary Ultimo Netherlands BV.
  • Advising Victoria Group, one of the largest hotel operators in Bulgaria on the acquisition of a majority stake in Chastno Aktzionerno Druzhestvo Zografski JSC, owner of the former Kempinski hotel in Sofia (currently Hotel Marinela). After the acquisition the law office continued to advise the company on a number of credit facility agreements with leading Bulgarian banks.
  • Advising the shareholders of Icom Ltd., a leading Bulgarian company in GPS tracking, fleet management, and intelligent transport systems (ITS) products and services, on the sale of a majority stake in the company to Viasat Group S.p.A., an Italian company dealing in telematic electronic equipment and location-based service provision.
  • Advising BLD Office Park AD and its majority shareholder WBL Continent Coöperatie U.A., managed by Northridge Capital Limited, a UK private real estate investment firm that acquires, manages and exits projects on behalf of private clients, on its joint venture with Bulgarian leading real estate company, on development of the second phase of construction of an office building. The legal work included also advice on refinancing the existing credit facility provided by Eurobank Bulgaria to the joint venture company – BLD Office Park with BGN 56,524,000 loan provided by Unicredit Bulbank.
  • Advising Risk Engineering JSC, a company engaged in risk assessment and management of the operating reliability of power plants and industrial sites, on tax due diligence of the holding company and its 30 affiliated companies.
  • Advising Easy Asset Management, a leading Bulgarian non-banking institution, on the acquisition of Provident Bulgaria Ltd., a Bulgarian company specialized in microfinancing.
  • Advising Management Financial Group JSC on the acquisition of Svea Finance Bulgaria Ltd, part of Creditexpress International Group and specialized in purchasing debt portfolios and debt collection.
  • Advising the investment fund Armada Capital JSC on acquisition of a minority stake in Endurosat JSC, a Bulgarian company that designs and engineers smart and affordable spacecraft for business applications and space exploration missions.
